Terms of Service agreement

("Agreement") is between Zanago LLC. ("Zanago," "we," or "us") and the individual or entity accessing or using the Hiyer Services ("Member," "you," or "your"). By using the Hiyer Services, you agree to be bound by the terms of this Agreement. If you do not agree, you may not use the Hiyer Services.

Account Creation

To use the Hiyer Services, you must create an account through our invitation-only process. You must be at least 18 years of age to create an account. Access requires either:

A valid invitation from an existing member who vouches for you

Approval through our direct application process

When creating an account, you will be asked to provide certain information, including your name, email address, professional title, company, and expertise areas. You are responsible for maintaining the accuracy and security of your account information.

Hiyer Services

The Hiyer Services provide an invitation-only professional networking platform designed specifically for entrepreneurs and independent professionals. This includes features such as:

Professional Networking: Connect and communicate with verified entrepreneurs and business professionals

Vouching System: Members can vouch for and invite other quality professionals to join the community

Sage AI Coaching: Receive personalized AI-powered insights and coaching based on your activity and reflections

Reflection Journal: Track your entrepreneurial journey and receive pattern recognition insights

Community Features: Participate in discussions, share expertise, and collaborate with other members.

Member Responsibilties

Professional Conduct: You agree to maintain professional behavior and treat all members with respect. Hiyer is designed for serious business professionals.

Data Accuracy: You are responsible for the accuracy and completeness of all information you provide to the Hiyer Services, including your professional background and expertise.

Appropriate Use: You agree to use the Hiyer Services only for their intended purposes and in a lawful manner. You will not use the Services to post or transmit any harmful, fraudulent, illegal, or unauthorized content.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.

Vouching Responsibility: When you vouch for someone to join Hiyer, you take responsibility for their professional character and commitment to community standards.

Intellectual Property

Hiyer Ownership: The Hiyer Services, including the software, website, design, logos, trademarks, and all other content, are the intellectual property of Zanago or its licensors. You may not use Hiyer's intellectual property without express written permission.

User Data: You retain ownership of the information and data you input into the Hiyer Services. By using the Services, you grant Hiyer a non-exclusive, worldwide, royalty-free license to use, modify, and reproduce your data for the purposes of providing, improving, and promoting the Hiyer Services.

Warranties & Disclaimers

THE HIYER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZANAGO LLC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HIYER DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT ON OR PROVIDED THROUGH THE HIYER SERVICES.

HIYER IS NOT RESPONSIBLE FOR ANY ERRORS, OMISSIONS, OR FOR THE RESULTS OBTAINED FROM THE USE OF THE HIYER SERVICES.

Limitations of Liability

IN NO EVENT SHALL ZANAGO LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY:

ERRORS, MISTAKES, OR INACCURACIES WITHIN THE HIYER SERVICES

PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM USE OF THE HIYER SERVICES

UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN

ANY INTERRUPTION OF THE HIYER SERVICES

LOSS OF PROFITS, BUSINESS OPPORTUNITIES, OR REVENUE DUE TO RELIANCE ON INFORMATION OR SUGGESTIONS FROM THE HIYER SERVICES

ACTIONS OR CONDUCT OF OTHER MEMBERS

THESE LIMITATIONS OF LIABILITY APPLY REGARDLESS OF THE LEGAL THEORY OF LIABILITY AND EVEN IF ZANAGO LLC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN SOME JURISDICTIONS, LIMITATIONS OF LIABILITY ARE NOT PERMITTED. IN SUCH JURISDICTIONS, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Privacy

Zanago respects your privacy and is committed to protecting your personal information. Our Privacy Policy describes in detail how we collect, use, share, and protect your personal information. By using the Hiyer Services, you consent to the data practices described in our Privacy Policy.

Sage AI Data Processing: By using Sage coaching features, you consent to AI analysis of your platform activity, reflections, and interactions to provide personalized insights and recommendations.

Termination

Termination by You: You may terminate your Hiyer account at any time by following the instructions provided within the Hiyer Services or by contacting Hiyer customer support.

Termination by Hiyer: Hiyer may terminate or suspend your account at any time, without notice, if we reasonably believe you have violated this Agreement, engaged in behavior harmful to the community, or if your use of the Hiyer Services poses a security risk.

Upon termination, your right to use the Hiyer Services will cease immediately.

Changes to Terms of Services

Zanago reserves the right to modify this Agreement at any time. We will notify you of any material changes by email, through a notification within the Hiyer Services, or by other reasonable means.

Your continued use of the Hiyer Services after the effective date of any changes will constitute your acceptance of the updated Agreement.

If you do not agree to the updated Agreement, you may terminate your account as outlined in the Termination section.

Governing Law

This Agreement and any disputes arising out of or related to this Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without giving effect to any conflicts of law principles.

Dispute Resolution

Initial Negotiation: The parties agree to first attempt to resolve any dispute arising out of or relating to this Agreement through good-faith informal negotiations.

Mediation: If a dispute cannot be resolved through informal negotiations within 30 days of written notice by either party, the parties shall submit the dispute to mediation with a mutually agreed-upon mediator in Kansas City, Missouri. The costs of mediation shall be shared equally by the parties.

Other Remedies: If a dispute remains unresolved after mediation, either party may pursue any other legal remedies available under this Agreement or applicable law.

Subscription Terms

Zanago offers annual subscription plans to access the Hiyer Services. The specific features and pricing associated with each plan are presented on the Hiyer pricing page or within the Hiyer Services.

Annual Plans: Hiyer operates on an annual membership model with various features and benefits.

Billing: Annual subscription fees will be billed to your chosen payment method in advance.

Renewal: Annual subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Cancellation: You may cancel your annual subscription at any time by following the instructions within your Hiyer account settings or by contacting Hiyer customer support.

Refunds: At Zanago, we strive to provide the best possible experience with Hiyer. We understand that circumstances may change, and we want to be transparent about our refund policy.

General Refund Policy: Digital Services: Due to the nature of digital services and the invitation-only community model, all sales of Hiyer annual memberships are final. We do not offer refunds or exchanges for change of mind or dissatisfaction with the service.

Exceptions:

Technical Issues: If you encounter technical issues that prevent you from accessing or using Hiyer, we are committed to resolving the issue promptly. If we are unable to resolve the issue within a reasonable timeframe, we may offer a refund at our discretion.

Misrepresentation: If you believe Hiyer was misrepresented in our marketing or promotional materials, please contact our customer support team. We will review your case and may offer a refund if we determine that Hiyer does not meet the advertised claims.

Chargebacks and Payment Disputes: Contact Us First: Before initiating a chargeback or payment dispute with your bank or credit card company, you agree to contact Hiyer customer support at sage@hiyer.pro to resolve any billing concerns.

Most billing issues can be quickly resolved through direct communication. You agree to provide Hiyer with a reasonable opportunity (at least 15 business days) to address and resolve your billing concern before pursuing a chargeback.

Chargeback Fees and Consequences: If you initiate a chargeback:

Fees: You agree to reimburse Zanago for any chargeback fees, administrative costs, or penalties imposed on us by our payment processor (typically $15-$100 per chargeback). These fees will be charged regardless of the chargeback outcome.

Account Suspension: Hiyer reserves the right to immediately suspend your account and access to the Hiyer Services upon receipt of a chargeback notification until the matter is resolved.

Payment Responsibility: If the chargeback is resolved in Hiyer's favor, you remain responsible for paying the original charges, applicable chargeback fees, and any collection costs.

Fraudulent Chargebacks: If you initiate a chargeback that Hiyer reasonably determines to be unauthorized, fraudulent, or in bad faith—including chargebacks initiated after you have received and used the Hiyer Services, or chargebacks that misrepresent the facts—Hiyer reserves the right to:

Immediately and permanently terminate your account and access to the Hiyer Services

Report the fraudulent activity to the relevant payment processor and/or authorities

Pursue all available legal remedies to recover amounts owed, including original charges, chargeback fees, attorneys' fees, and court costs

Legitimate Disputes: We understand that legitimate reasons for chargebacks exist, including unauthorized use of your payment method, failure to deliver services, or billing errors. If you have a legitimate dispute, we encourage you to contact us first at sage@hiyer.pro.

If you file a chargeback for a legitimate reason and provide supporting evidence, Hiyer will work with you and the payment processor to resolve the matter fairly and will not assess additional fees if the chargeback is found to be valid.

Account Reinstatement: If your account is suspended or terminated due to a chargeback and you wish to have your account reinstated, you must:

Pay all outstanding amounts owed to Hiyer, including original charges and applicable chargeback fees

Provide acceptable proof of payment

Submit a written request for reinstatement to sage@hiyer.pro

Reinstatement is at Hiyer's sole discretion and is not guaranteed.

Important Note: Initiating a chargeback is not a valid method for cancelling your subscription or requesting a refund. To cancel your subscription, follow the cancellation process outlined above in this Subscription Terms section.

Initiating a chargeback instead of following proper cancellation or refund procedures may be considered a breach of this Agreement.

Changes to Subscription Plans: Hiyer reserves the right to change the features or pricing of any subscription plan at any time. You will be notified in advance of any significant changes.

Third-Party Integrations

Hiyer may integrate with third-party applications, websites, or services ("Third-Party Integrations") to provide you with additional features, functionality, or access to related services. Examples of Third-Party

Integrations might include:

AI Services: External AI providers that enhance Sage coaching capabilities

Communication Tools: Integration with email or calendar services

Business Tools: Connections with CRM, project management, or other business platforms

Use of Third-Party Integrations: Your use of any Third-Party Integrations is entirely optional. When you enable a Third-Party Integration, you may be required to create an account with the third-party provider and agree to their separate terms of service and privacy policy.

Data Sharing: Enabling a Third-Party Integration may involve Hiyer sharing relevant data from your Hiyer account with the third-party provider, in accordance with our Privacy Policy.

Zanago's Responsibility: Zanago is not responsible for the content, security, or practices of any Third-Party Integrations. Your use of Third-Party Integrations is solely at your own risk.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be struck and replaced with an enforceable provision that most closely reflects the intent of the original provision.

The remaining provisions of this Agreement shall continue in full force and effect.

Notices

Notices from Zanago LLC: Zanago may provide you with notices regarding this Agreement or the Hiyer Services by email, regular mail, postings within the Hiyer Services, or other reasonable means.

Notices from You: You must send notices to Zanago related to Hiyer Services via the contact methods provided in the "Contact Information" section below.

Entire Agreement

This Agreement, together with the Privacy Policy and any other policies or terms referenced herein, constitutes the entire agreement between you and Zanago LLC. regarding the Hiyer Services, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Hiyer.
